Terms of Service

The rules for using Simplifyd Cloud — what you can run, how billing works, and what happens when something goes wrong. Written to be read, not skipped.

01The agreement

These terms are the contract between you and Simplifyd Systems (RC 1695886) ("Simplifyd", "we") for use of Simplifyd Cloud — the console, the edge CLI, the API, the MCP server, and everything you run on them. Creating an account means you accept them. If you are accepting on behalf of a company, you are confirming you have the authority to bind it.

Our Privacy Policy is part of this agreement.

02Your account

You must be 18 or older. Give us accurate details and keep them current. You are responsible for what happens under your account, including everything your API tokens and any connected AI agent do. Turn on two-factor authentication; it is free and it is the single biggest thing you can do here.

Workspaces have roles — owner, developer, billing. The owner decides who is in the workspace and what they can reach. If you invite someone, their actions are your responsibility.

Tell us promptly at savvy@simplifyd.com if you think an account or token has been compromised.

03Billing

You pay for what runs, by the second. CPU, memory, volumes, object storage and network traffic are metered continuously and debited from your workspace wallet. There is no subscription, no minimum and no platform fee. A service scaled to zero costs nothing to compute — but storage you have provisioned is still provisioned, and still bills.

The wallet is prepaid. You fund it via card or bank transfer through Stripe, Paystack or Flutterwave. We email a warning as the balance runs low. If it reaches zero we may suspend your services; if it stays at zero we may delete them, and deleted volumes and buckets do not come back. Keep the wallet funded.

Current rates are published at simplifyd.com/pricing and are what you are charged. We can change them, but not retroactively: we will email account owners at least 30 days before a rise takes effect, and you can stop using the service before then.

Wallet funds are not refundable except where the law requires it or where we have billed you in error. If you find a charge you cannot account for, open a ticket within 60 days and we will look at the metering records with you.

Prices are in Naira and exclude VAT and any other tax, which we add where we are required to.

04Acceptable use

Do not use Simplifyd to:

  • break the law, or host content that is illegal where you or your users are;
  • send spam, or run phishing, malware, or credential-harvesting sites;
  • attack anything — DoS, port scanning, intrusion attempts — whether the target is ours or someone else's;
  • mine cryptocurrency;
  • run open proxies, VPN exit nodes or anonymisation relays for third parties;
  • abuse zerodata delivery — routing traffic that is not your application's, or reselling zerodata capacity to others;
  • attempt to escape your container, reach another tenant's workloads, or probe our control plane;
  • consume resources in a way that degrades the platform for other customers.

We may suspend a service immediately, without notice, where it is actively causing harm — an ongoing attack, an abuse complaint we must act on, a workload destabilising a node. We will tell you what happened and why as soon as we reasonably can, and we would always rather email you first than pull the plug.

05Your content

What you deploy is yours. We claim no ownership of your code, your data or your users' data. You grant us only the licence we need to host, run, transmit, back up and display it in order to operate the service, and that licence ends when you delete the content.

You are responsible for having the rights to what you upload, for the lawfulness of your application, and for your own relationship with your users — including their privacy. Where we process personal data on your behalf, we do so under your instructions and the terms of our Privacy Policy.

Backups are your job too. Managed Postgres includes automated backups and point-in-time recovery within your retention window, and we work hard to keep your data intact — but you should keep your own copy of anything you cannot afford to lose.

06Availability and support

We aim to keep the platform up and we publish incidents at status.box.simplifyd.com. We do not currently offer a contractual uptime SLA with service credits. The service is provided as-is: things break, networks fail, and maintenance sometimes requires a restart. Where we can plan a disruptive change, we will give notice.

Support runs through the ticket system in the console. First-pass triage may be handled by an AI assistant; a human reads anything it cannot resolve.

We can change, add or withdraw features. If we withdraw something you depend on, we will give at least 30 days' notice to account owners.

07Zerodata

Zerodata delivers traffic between your application and subscribers on partner mobile networks without deducting from those subscribers' data bundles. It works for the carriers listed on the pricing page, for subscribers on those networks, and only while our agreement with each carrier is in force.

Coverage can change if a carrier changes its terms, and traffic that is not eligible falls back to the standard egress rate rather than failing. We cannot promise a given user's traffic will always be zerodata-eligible — carrier routing is not something we control end to end.

08Liability

To the extent the law allows: we are not liable for lost profits, lost revenue, lost data, or indirect or consequential loss. Our total liability for any claim is capped at what you paid us in the three months before the claim arose.

Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot be limited by law.

You agree to indemnify us against third-party claims arising from your application, your content, or your breach of these terms.

09Ending it

You can close your account at any time. Delete your services first — running services keep billing. Any remaining wallet balance is forfeited unless the law says otherwise.

We can suspend or terminate an account for a material breach of these terms, for non-payment, or where we are legally required to. Except for urgent abuse cases, we will give you notice and a chance to fix it. After termination we keep your data for 30 days so you can export it, then delete it.

10General

These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have exclusive jurisdiction.

We may update these terms; material changes go to account owners by email at least 30 days ahead, and continuing to use the service after that means you accept them. If a provision is unenforceable, the rest stands. You may not assign this agreement without our consent; we may assign it as part of a merger or sale of the business.
